Please read these Terms of Service ("Terms") carefully before using Huddle (the "Service") operated by Huddle ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Description of Service
Huddle is a task aggregation platform that allows you to connect and view tasks from multiple third-party project management services (including Asana, Linear, ClickUp, Monday.com, and Basecamp) in a unified dashboard. We do not create, modify, or delete tasks on connected platforms—we only read and display task information.
2. Account Registration
To use the Service, you must:
- Be at least 16 years of age
- Provide accurate, current, and complete registration information
- Maintain the security of your password and account credentials
- Promptly notify us of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that we reasonably believe are being shared or misused.
3. Third-Party Platform Connections
The Service allows you to connect your accounts from third-party project management platforms. By connecting these accounts, you:
- Authorize Huddle to access and retrieve task data from those platforms on your behalf
- Represent that you have the right to grant such access and that doing so does not violate any agreements with those platforms
- Acknowledge that your use of third-party platforms remains subject to their respective terms of service
- Understand that Huddle is not responsible for the availability, accuracy, or functionality of third-party platforms
You may disconnect any third-party platform at any time through your account settings.
4. Subscription Plans and Payment
Huddle offers both free and paid subscription plans. For paid plans:
- Fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law or as explicitly stated in these Terms
- We may change pricing with 30 days' notice; changes apply at your next billing cycle
- Failure to pay may result in suspension or termination of your account
Free trial periods, if offered, automatically convert to paid subscriptions unless cancelled before the trial ends.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means (bots, scrapers) to access the Service without our written permission
- Resell, sublicense, or provide the Service to third parties without authorization
- Circumvent any access controls or usage limits
- Use the Service to transmit malware, spam, or other harmful content
6. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Huddle and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.
You retain all rights to your data and the content you access through connected platforms. By using the Service, you grant us a limited license to access, retrieve, cache, and display your task data solely for the purpose of providing the Service to you.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to the practices described in the Privacy Policy.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- The Service will meet your specific requirements
- Any errors in the Service will be corrected
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUDDLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless Huddle and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable law
11. Termination
You may terminate your account at any time by contacting us or using the account deletion option in your settings. We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach these Terms
- We are required to do so by law
- We discontinue the Service
Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms with a new "Last Updated" date and, for significant changes, by email to registered users. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of such courts.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Huddle regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
